It is with utmost pleasure we present a breakdown of our exhaustive inquiry into the terms of reference below, submitted to this honorable 5 man high powered committee to peruse. Moreover, we have extensively done critical justice to the terms of reference which will serve as possible recommendation to the Great Benin Origins Executive Council to adopt. Because of our steadfastness and unity of purpose to ensure a just organization, we have earnestly committed our very best to discharge this noble duty in good faith.

We thank the President Engr. Isaac Igbinosun and the entire members of GBO Executive Council for the honor and confidence reposed in us and giving us the opportunity to be of help to Edo people at home and abroad and Nigeria in general, through the GBO worldwide organization.

In doing so, we want to use this opportunity to thank our erudite Chairman Prof. Alex G. Igbineweka for his patriarchal covering and good sense of judgment; he is a bastion of tutelage to us. To our dexterously indefatigable Engr. Aghadiaye Ayo we are grateful for his critical insight and analysis into the fundamental basics of the subject matters. As for our legal luminary Barr. Famous Osawaru, we are highly grateful taking us along his wealth of jurisprudential profundity in wisdom. Princess Abiokunla Okao saw us through the committee’s difficult times with her nerve nexus, surely, she is a replica of Queen Idia N’iyesigie, brave at heart and resolute in spirit. And, to our humble Mr. Victor Osazuwa, we doff our hats to him for not only the live-wire of the Committee; we did not at any time starve of his first-class mastery of Queen’s English language presentation from time to time and in the most dynamic articulated vision, mission and progress of GBO to make Edo great again.

TERMS OF REFERENCE:

1. To look into the recent controversy between Madam Derby Ohonbamu,Miss Jessica and Mr. Uwagboe which lead to the exit of Madam Derby Ohonbamu who is the financial secretary of GBO.
2. In order to discourage members exiting the group at random, a recommendations should be imputed into the constitution to stop this practice with possible punishment put in place.
3. Reexamine critically the possibility of reactivating the annulled account with the first Bank in Nigeria with the following signatories President, Editor and the Nigeria Coordinator. Using the president email to enable him change the signatories when the account becomes active to include the Secretary, and the treasurer. While the financial secretary take control if the email when those changes are made.
4. The website belongs to GBO. Any information there must be approved by the executive council or the President,failure a punishment should be put in place.
5.Recommendations on monthly dues per members.
6. Modalities for Land acquisitions for any future investments what shape and form?
7.Opening of Europe Bank account, why the delay? – (Day to day administrative officers issues; shouldn’t be a committee task unless there is reasonable violation of GBO’s Code of Conduct
8.Registration of GBO cooperative society alongside already existing NGO.
9.Set up a committee to look into the constitution for any possible amendments and solicit for fund locally and internationally.
10.GBO should focus on our main aim of socio cultural promotion, seminars, scholarship for students,radio advertisements, that would make Benin great.
11.Discourage the use of a personal account for GBO,hence the need to accept and adopt the already opened account with the first Bank. Until GBO account is opened and operational no payment of money must be made to any private account.

RESOLUTIONS BY GBO 5 MAN COMMITTEE

ITEM 1
“To look into the recent controversy between Madam Derby Ohonbamu, Miss Jessica and Mr. Uwagboe which lead to the exit of Madam Derby Ohonbamu who is the financial secretary of GBO.”
RESOLUTION: It is a common fact that where there is no law there is no violation. GBO, as far as I am aware at this point has no laws about copyright acquisition, administration, protection or violation other than good moral code of conduct or conscience. We should understand that, all over the world, there are some people without conscience. Therefore, this topic should not take our time and energies fare more than it has consumed up to this moment.
If Madam Derby’s voluntary offer of idea to GBO was something of protective value, she had the rights and privileges to protect her family’s idea by requesting informing Mr. Uwagboe about the privacy and or copyright limitation of her idea. Whereas, Mr. Uwagboe – keeper of GBO’s collective ideas from members, should have ensured that ideas received by GBO are highly coded, sensitive, classified and strictly protected under the GBO’s Code of Conducts and copyrights rules and regulations.

In the absence of any of the above hitherto regulatory handcuffs, GBO should write an official letter of apology to Madam Derby Ohonbamu and her daughter for trying to and or using their ideas without courtesy or consent irrespective of the fact that the ideas was collected mutually unconditionally. Also, all purposes and intent of the idea submitted by Derby’s daughter should be stopped immediately and both parties should get into a simple memorandum of understanding henceforth. Same principle and procedures should apply to all other ideas currently acquired by GBO, to avoid litigations.

In the same vein, our brother Mr. Uwagboe Ogieva, should write a personal letter of apology to GBO Executive Council and the entire members for publishing and using ideas belonging to the Great Benin Origins without the approval of the Executive Council. This action is capable of damaging the good image of the organization including but not limited to court litigation and colossal loss of funds.
About Derby’s in today and out the next day; this is what I called “Hanging Paragraph Membership Status” HPMS. Do we really need this kind of membership especially at this moment? Once again, GBO need to set up a Membership Regularity Code of Conduct because, where there is no law, there is no violation whatsoever. I hereby advice that, henceforth, members are free to embark or disembark GBO at will because we do not operate cultism. You can disassociate yourself from the group not more that once. On the second re-instatement, such a member must pay an approved re-instatement fee to be voted for, as well as a signed Oath of Allegiance to the group. There should be no third time re-instatement unless the association needed such a member for the good of the order of the organization, if any. For now, I recommend that Derby Ohonbamu should write a formal letter of apology, perhaps one-line simple message to GBO for documentation.

ITEM 2:

RESOLUTION:
The 5-Man Committee resolved as follows:
1. Executive member’s violation … 20Euros … in addition to letter of apology
2. Regular member (including those in Nigeria) 10Euros in addition to letter of apology
3. Extra-ordinary or much serious violation should be referred to the Disciplinary Committee for case-by-case merit evaluation and adequate sanction(s)
4. Penalties and fees to be re-evaluated once a year and approved by the Executive Council

ITEM 3

RESOLUTION: The Committee resolved to skip item #3 skipped because the account has been nullified by the EC
ITEM 4:
The website belongs to GBO. Any information there must be approved by the executive council or the President,failure a punishment should be put in place.

RESOLUTION:
Be it resolved and it was resolved that:
1.GBO website belongs to the Great Benin Origins Worldwide organization. Therefore, any information to be published on the website must be approved by the executive council of GBO. If any publication or alteration is made to the website by any individual without the permission of the executive council, the action(s) of such an individual will be regarded as violation of GBO code of conduct and shall be punishable with any or all of the following laws:
a) Immediate removal of the said publication from the GBO’s website; and, a letter of remorse to GBO by the violator
b) Abatement penalty fee of a minimum sum of 50Euro for the violation, payable to the GBO within 30 calendar days from the date of the violation. If the penalty wasn’t abated within the time limit, there will be a 5% monthly late payment penalty added to the fine.
c) Depending on the severity of the violation, the violator may be suspended or dismissed from the GBO subject to the approval of the GBO disciplinary committee and the executive council.
d) GBO should never be dragged into the copyright legal litigation because the violator acted by himself/herself and shall solely bear the legal consequence.
The above laws should be re-evaluated from time to time as the need arises

ITEM 5
5.Recommendations on monthly dues per members.
RESOLUTION: The Committee resolved that GBO monthly dues per member is 10euros or $120/year. There is a 5euro discount if you paid your total due for the year in one block payment on or before the 31st of January of each year. There is a 5% late payment penalty for the monthly payments and 10% penalty fee for the annual payment. However, no annual payment is acceptable on or before February 28/29 of each year.

ITEM 6
6. Modalities for Land acquisitions for any future investments what shape and form?
RESOLUTION:
1. A formal approval to buy land for GBO upon a collective decision of two-third majority votes of the Executive Council must be obtain prior to any land acquisition for any future investment.
2. Any member of the EC or regular members may introduce land/property to GBO for possible acquisition. However, a none GBO member may do so by:
a) Registration as a member of GBO and with at least six months membership affiliation, high level of responsibility, dependability and accountability.
b) Introduce the land/property to a GBO standing member and work with him or her, or comply with both rules (a) and (b).3. Property/land acquisition must be based on the necessity and funding.
4. Zero tolerance for abandoned project(s) 5. Strict compliance with rules and regulations governing property acquisition available in the various government and local agencies housing policies.
6. GBO must have a standing Properties Committee under the Director of Projects who’ duties including but not limited to inquiring, investigating, recommendations to the Executive Council and the Executive Council’s strict compliance with Code #1 above before GBO can commits its finance into the project.

ITEM #7:
Opening of Europe Bank account, why the delay? – (Day to day administrative officers issues; shouldn’t be a committee task unless there is reasonable violation of GBO’s Code of Conduct

RESOLUTION:
The 5-Man Committee resolved to skip item #7 due to the delay of GBO’s registration in the European Union

ITEM #8
8.Registration of GBO cooperative society alongside already existing NGO.
RESOLUTION:
Charity must begin at home, be it resolved and it is was resolved by the Committee that registration of GBO Cooperative Society alongside already existing NGO be approved by the Executive Council whenever there are finance and manpower resources for such a venture. The cooperative society should commence first in Nigeria, Benin City and with branches in each of the 3 local government areas in Edo State as soon as it is possible to do so. The initial day to day administration of the Cooperative Society should be under the management of the Director of Projects, until such a time that GBO shall have the Department of Administration or the department in charge of administration and human resources to take over the management thereafter. Also, Director of Project should submit a feasibility survey report to the Executive Council for consideration an approval prior to the establishment and commencement of the Cooperative Society. Upon the directive of the two-third majority votes of the Executive Council, this resolution may be revised from time to time as necessary.

ITEM #9
Set up a committee to look into the constitution for any possible amendments and solicit for fund locally and internationally.
RESOLUTION:
For easy classification and reference, the above Terms of Reference was dub-divided into parts (a) and (b) as follows:

9.(a) GBO should set up a 3 to 5 man standing committee, not adhoc, to look into the constitution from time to time for any possible amendments. Also, the Executive Council should refer any constitutional issues that needed resolution corporate resolution to the Standing Committee for guidelines.
9.(b) Be it resolved and it was resolved that GBO can adopt any method approved of the Executive council to solicit for fund locally and internationally.

ITEM #10:
10.GBO should focus on our main aim of socio cultural promotion, seminars, scholarship for students, radio advertisements, that would make Benin great.

RESOLUTION
The house resolved unanimously, that GBO should focus our main aim as follows:
i) Socio cultural promotions
ii) Seminars
iii) Edo language Research and Documentation
iv) GBO Edo Language schools at home and abroad, e.g.
– Edo Language School, West Contra Costa Unified School District, Richmond California by Prof. Alex G. Igbineweka, visit: https://www.youtube.com/watch?v=dNShaseOXXg&t=1s ; and, Edo Language School, by the Unique Club of Toronto, Canada.
v) GBO Primary School
vi) Edo State Arts and cultural workshops
vii) GBO Cultural Exhibitions
viii) GBO-Edo State Music and Dance Competition for the promotion of young and talented artists
ix) GBO scholarships for students
x) GBO Primaries and Post-Primary Schools Essay Competition in Edo State. xi) Radio advertisements and promotional jingles that would make Benin great again.

The Executive Council cannot do all this by itself. Therefore, it is hereby resolved that the EC may set up various adhoc committees for the various programs to be embarked upon by GBO

ITEM #11
11.Discourage the use of a personal account for GBO,hence the need to accept and adopt the already opened account with the first Bank. Until GBO account is opened and operational no payment of money must be made to any private account.
RESOLUTION:
The 5-Man Committee resolved that, hitherto GBO utilized a private or personal accounting system at the initial formation of the association. However, this committee hereby resolved that the service of individual account for and on behalf of GBO should be discontinued forthwith, that the annulled account in Nigeria by the EC should remain void. GBO should open another official bank account right away and elect accounts executives approved by the Executive Council as signatories to the bank account. The 5-Man Committee cannot nominate, elect or appoint signatories to the said GBO’S bank account; that falls within the administrative procedures of the Executive Council. To encourage transparency in the GBO banking system, this committee further recommend the importance of power sharing of signatories, bank statements and custody of GBO’s check books between the President, the Secretary and the Treasurer /Financial Secretary respectively as stated in the constitution.
